These Terms of Service (“Terms”) govern your use of the Vindicio service (“Service”) provided by Vindicio Ltd. (Company Number 17020121) (“Vindicio,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Vindicio provides AI-powered Anti-Money Laundering (AML) and Know Your Transaction (KYT) analysis for cryptocurrency transactions through a Telegram-based bot interface. The Service includes blockchain intelligence, risk assessment, and transaction analysis powered by artificial intelligence and third-party data providers.

2. Eligibility and Account

2.1 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are 18 or older. You are solely responsible for compliance with age restrictions in your jurisdiction.

2.2 Account Registration

Access to the Service requires a Telegram account. We use your Telegram ID for authentication. You are responsible for maintaining the security of your Telegram account.

2.3 Account Termination

You may delete your account at any time through the Service. Upon deletion, all your personal data will be permanently removed from our systems.

3. Acceptable Use

3.1 Permitted Use

You may use the Service for:

• Analyzing cryptocurrency transactions for compliance and risk assessment
• Conducting due diligence on wallet addresses and transactions
• Generating reports for legitimate business or personal purposes

3.2 Prohibited Activities

You may NOT use the Service to:

• Engage in or facilitate illegal activities, including money laundering, terrorist financing, fraud, or any unlawful conduct
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse engineer, hack, or compromise the Service
• Share your account access with unauthorized third parties
• Use the Service to harass, threaten, or harm others
• Submit false or misleading information intentionally
• Abuse, overwhelm, or misuse the Service infrastructure

3.3 Compliance Responsibility

You are solely responsible for your use of the Service and any decisions made based on the analysis provided. Vindicio does not provide legal, financial, or compliance advice.

4. Subscription and Payments

4.1 Pricing

The Service operates on a freemium model with both free and paid subscription tiers. Current pricing and features are available within the Service. We reserve the right to modify pricing with reasonable notice.

4.2 Payment Methods

We accept payments through:

• Telegram Stars
• CryptoCloud (cryptocurrency payments)
• Stripe (credit/debit cards) - coming soon

4.3 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or as specified). By subscribing, you authorize us to charge your chosen payment method.

4.4 Refunds

Refunds may be granted at our discretion under the following conditions:

• You submit a refund request to admin@vindic.io
• The request complies with these Terms
• Refunds are calculated based on the unused portion of your subscription period
• No refund is provided for already-consumed services or features

Refund requests are reviewed on a case-by-case basis. We reserve the right to deny refunds for violations of these Terms.

4.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for mid-period cancellations unless otherwise stated.

5. Intellectual Property

5.1 Service Ownership

The Service, including all software, designs, text, graphics, and other content, is owned by Vindicio and protected by copyright, trademark, and other intellectual property laws.

5.2 User-Generated Reports

Analysis reports generated by the Service belong to you, except for:

• MistTrack Reports: Reports generated using MistTrack data are provided under license for your use only and remain subject to MistTrack's terms and conditions. You receive a limited, non-exclusive license to use these reports.

5.3 License to Use Service

We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.

7. Third-Party Services

The Service integrates with third-party providers, including:

• OpenAI (AI functionality)
• MistTrack (blockchain intelligence)
• Payment processors (Telegram, CryptoCloud, Stripe)

Your use of these integrated services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or performance of third-party services.

8. Disclaimers

8.1 No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Accuracy of Information

While we strive for accuracy, we do not guarantee that the blockchain analysis, risk assessments, or other information provided by the Service is complete, accurate, current, or error-free. You use the Service at your own risk.

8.3 Not Professional Advice

The Service does not provide legal, financial, tax, or compliance advice. Consult qualified professionals for advice specific to your situation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINDICIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vindicio, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Any decisions you make based on Service outputs

11. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new “Last Updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Any other reason at our sole discretion

Upon termination, your right to use the Service immediately ceases.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Vindicio regarding the Service and supersede all prior agreements and understandings.
